GSNPROMEDIA (Get Me Escrow) and client will maintain in confidence and will not disclose to third parties without the other’s prior written consent (i) the specific terms of this Agreement; and (ii) information that is proprietary or confidential to client. Client agrees to give GSNPROMEDIA (Get Me Escrow) access to all tools, software, websites, social media, landing pages, social media accounts, etc. that they will need to access. GSNPROMEDIA (Get Me Escrow) will use best efforts to secure and protect all passwords. Only authorized representatives of GSNPROMEDIA (Get Me Escrow) will be allowed to access passwords and only on an as needed basis. Client agrees to allow GSNPROMEDIA (Get Me Escrow) to use clients name and website for company promotions, online portfolio, past clients list, on social media, in print material, etc. for advertising and promoting GSNPROMEDIA (Get Me Escrow) services to other companies.
Once client agrees to the subscription for services mentioned in agreement via email a monthly recurring charge billed to credit card on file every 30 days starting from effective date during the term of the Agreement. Client understands that transactions will be processed via Bluesnap.com (i.) Client understands that a 3% service fee will be issued for each successful transaction. (ii.) Client should notify GSNPROMEDIA (Get Me Escrow) of any modifications to billing information that would therefore disrupt recurring payments. Additional Services Fees: In the event the Client would like to use GSNPROMEDIA (Get Me Escrow) for services outside of the scope of services additional charges may apply. In the event GSNPROMEDIA (Get Me Escrow) is asked to do hourly work outside of the scope of this agreement, then the following charges will apply: GSNPROMEDIA (Get Me Escrow), Hourly Fee: $100.00 per hour In the event of any delay on the part of the client to pay the Fees within 7 days from the due date, would constitute a Material breach of the Agreement by the client and GSNPROMEDIA (Get Me Escrow) shall have the right to stop execution of any and all services to the client after the expiry of such period until all outstanding dues have been cleared. If after 30 days outstanding dues have not been payed, client will be violating the terms of agreement and will result in termination of services. Client shall notify GSNPROMEDIA (Get Me Escrow) in writing via email 7 days in advance whenever they would like to discontinue services.In case of termination client shall be liable to pay full amount of the remaining monthly amount invoiced till the end of the month to GSNPROMEDIA (Get Me Escrow) [full month]
